Terms of Service

1. Agreement to terms
By accessing or using the Auxilia Front Desk automated messaging service ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Service.
These Terms constitute a legally binding agreement between you ("Client") and Auxilia Front Desk ("Auxilia", "we", "us"). These Terms are governed by the laws of England and Wales.
2. The Service
Auxilia Front Desk provides automated customer-communication services including:
- Automated replies to customer enquiries via WhatsApp and Instagram
- Booking and appointment automation through messaging platforms
- Automated reminder and follow-up messages
- Website chat integration and automated response handling
We reserve the right to modify, suspend or discontinue any aspect of the Service at any time with reasonable notice.
3. Acceptable use
You agree not to use the Service to:
- Send spam, unsolicited messages or bulk marketing without consent
- Harass, threaten or harm any individual
- Violate any applicable law or regulation, including UK data protection law
- Infringe the intellectual property rights of Auxilia or any third party
- Attempt to gain unauthorised access to our systems or those of our sub-processors
- Use the Service in any way that could damage our reputation or that of our partners
We reserve the right to suspend or terminate your access immediately if we reasonably believe you are in breach of this section.
4. Service availability
We aim to provide a reliable, high-availability service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control (including failures of third-party platforms such as Meta WhatsApp or Make).
We will endeavour to provide advance notice of planned maintenance where reasonably practicable.
5. AI-generated responses
The Service uses artificial intelligence (including OpenAI technology) to generate automated responses on your behalf. You acknowledge that:
- AI-generated responses may occasionally be inaccurate, incomplete or inappropriate
- You are responsible for reviewing and configuring the automated responses deployed under your account
- Auxilia is not liable for any loss or damage arising from AI-generated content sent to your customers
- You must ensure AI responses comply with all applicable consumer protection and advertising laws
6. Intellectual property
All intellectual property rights in the Service, including software, designs, branding and documentation, are owned by or licensed to Auxilia Front Desk. Nothing in these Terms grants you any rights in such intellectual property other than the limited right to use the Service as described herein.
You retain ownership of all content and data you provide to us. By using the Service, you grant us a limited licence to process that content solely to provide the Service.
7. Limitation of liability
To the fullest extent permitted by law, Auxilia Front Desk shall not be liable for:
- Any indirect, incidental, special or consequential loss or damage
- Loss of profits, revenue, business or anticipated savings
- Loss of data or goodwill
- Any loss arising from your reliance on AI-generated responses or from third-party platform outages
Our total aggregate liability to you in connection with the Service shall not exceed the fees paid by you to Auxilia in the three months preceding the event giving rise to the claim.
Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud or any other liability that cannot be excluded by law.
8. Termination
Either party may terminate the Service arrangement by providing written notice to the other. We may terminate or suspend your access immediately and without notice if you breach these Terms or if we are required to do so by law.
Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination (including Sections 6, 7 and 9) shall continue to apply.
9. Governing law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
10. Changes to these Terms
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on our website. Continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
